Q: What is Bayside Resort Golf Club?
A: Bayside Resort Golf Club (the "Club") is a new country club, located in the Bayside Community just west of Fenwick Island, Delaware (the "Community") featuring exceptional golf, tennis, swimming, health and fitness, and social facilities.

Q: Who owns the Club Facilities?
A: Bayside Sports Club, LLC or an affiliate thereof (the "Company"), manages and operates Bayside Resort Golf Club Facilities.

Q: What facilities will the Club offer?
A: Members, their families and guests will enjoy the following exceptional Club Facilities:

  • 18-hole Jack Nicklaus Signature golf course;
  • Golf Practice Facilities and Golf School;
  • Clubhouse including Grill; and
  • Health Club Complex including fitness, indoor pool, outdoor pool and tennis courts.

Q: When will construction of the Club Facilities be completed?
A: Construction of the Clubhouse will commence once the Club has issued 200 regular Golf Memberships (not including Invitational Memberships) and it is anticipated that the Clubhouse will be completed within two (2) years thereafter. The Health Club Complex will be constructed in phases. The first phase will include at a minimum, an outdoor swim facility and fitness center. Construction of the first phase will begin when the Club has a combined total of 300 regular Golf and Sports Memberships (not including Invitational Memberships) and it is anticipated that the Health Club Complex will be completed within two (2) years thereafter. Additional phases will be constructed based upon the pace of increase of the number of members in the Club. The construction of the Club Facilities will be subject to obtaining the necessary approvals and permits.
The Club reserves the right to add additional Club Facilities in the future and add additional memberships or membership categories in its discretion.

Q: How many memberships will be offered in the Club?
A: The maximum number of memberships permitted in each category will be as follows:

The Club may, in its sole discretion, further limit the number of memberships available in any category of membership as the Club determines appropriate from time to time.

Q: What are the privileges of a Golf Membership?
A: Each person who acquires a Golf Membership will be entitled to use all of the golf, tennis, swimming, health and fitness and social facilities of the Club. Golf Members will not be required to pay green fees or court fees for use of the golf and tennis facilities, but will be required to pay golf cart fees. Golf Members will be entitled to reserve golf starting times as determined by the Club from time to time.

Q: What are the privileges of a Sports Membership?
A: Each person who acquires a Sports Membership will be entitled to use all of the golf, tennis, swimming, health and fitness and social facilities of the Club. Sports Members may reserve six golf tee times per membership year, with a lower priority sign-up privilege than Golf Members, upon payment of a preferred green fee and cart fee. Sports Members may play additional rounds of golf on the same basis and at the same rate as the general public as long as the general public is allowed to use the Club Facilities.

Q: What are the privileges of a Corporate Golf Membership?

A: Actual legal, business entities, as determined by the Club from time to time, in its sole discretion may acquire a Corporate Membership. Each Corporate Membership will count as one membership against the limit on the number of Golf Memberships. Each Corporate Membership will entitle the Corporate Member to designate three persons to use the Club Facilities. Each designated user of the Corporate Membership will be required to pay the same dues and will be entitled to use the Club Facilities on the same basis as a Golf Member. Dues must be paid for three designees at all times.

Q: What are the special features of membership in the Club?
A: In addition to exceptional Club Facilities and an extensive array of programs and activities for members and their families, membership in the Club currently offers a number of attractive benefits.

  • Refundable Membership Deposit. One hundred percent (100%) of the membership deposit actually paid for a membership is refundable upon resignation and reissuance of the membership.
  • Immediate Family Privileges. A member, his or her spouse and their unmarried children, under the age of 23 who are living at home, attending school on a full-time basis or in the military are entitled to membership privileges without having to pay additional membership dues.
  • Extended Family Privileges. The parents, children who do not fall within the definition of immediate family, grandparents, grandchildren and great-grandchildren of the member and spouse and the spouses of such family members may use the Club Facilities upon payment of preferred fees.
  • Resigned Memberships Reissued Prior to Membership Sell-Out. Resigned members do not have to wait until all new memberships in the Club have been issued before their membership is reissued and they receive their refund. Every fourth membership issued within a category will be a resigned membership from the waiting list.
  • Transferability of Memberships. Memberships are transferable through the Club to the subsequent purchaser of a member's residence or homesite in the Community.
  • No Assessments. Members are not subject to either operating or capital assessments.
  • Inheritability. Upon the death of a member, the membership can be transferred to his or her spouse or adult child.
  • Lessee Privileges. Lessees of a member's residence in the Community may enjoy membership privileges in the Club.
  • Club Newsletter. Members will receive a periodic newsletter containing information about events and activities at the Club and other items of interest.
  • Website. The Club's website located at www.golfbayside.com provides members with access to important up to date club information.

Q: Will my family members be welcome at the Club?
A: Yes. The ability to spend quality time with members of the family is of paramount importance these days. The Club is committed to providing a pleasant environment where this can be accomplished. Each membership in the Club is a family membership, which includes full privileges for spouses and unmarried children under the age of 23 who either live at home, attend school on a full-time basis, or serve in the military. The Club intends to provide programs and activities that are appealing to family members of all ages.

A member's extended family will be permitted to use the Club Facilities in the company of the member in accordance with the member's category of membership upon payment of preferred fees. The extended family shall include the parents, adult children who do not fall within the definition of immediate family, grandparents, grandchildren and great grandchildren of the member and spouse and the spouses of such family members.

Q: May I invite guests to the Club?
A: Yes. Having your friends enjoy the Club's outstanding facilities with you is a wonderful attribute of membership in the Club. Therefore, members are entitled to have guests use the Club Facilities in accordance with the member's category of membership and the rules and regulations adopted by the Club to preserve the exclusivity of its facilities. Another attractive feature of membership in the Club is the ability to have both accompanied and unaccompanied guests enjoy the Club Facilities.

Q: Will there be any other types of membership available in the Club?
A: The Club may, in its sole discretion, offer memberships to both residents of other Carl M. Freeman Communities and non-residents on a recallable basis. The Club will also permit outside play by members of the general public, resort guests and resort rental guests to use the Club Facilities on such terms and conditions as it may determine appropriate from time to time. A limited number of Company and Honorary Memberships will also be available and will not count towards the membership cap.

Q: When will the membership deposit be repaid to the member?
A: Each person who acquires a membership will be entitled to receive a refund of his or her membership deposit, without interest, within 30 days after the reissuance of the member's membership by the Club to a new member. If you continue to be a member for 30 years, you will receive a refund of your membership deposit without interest 30 years from the date you joined the Club.

Q: Who is eligible to acquire a membership in the Club?
A: Memberships in the Club will be offered to initial purchasers of a residence or homesite in the Community and such other persons as the Club may designate.
Each initial purchaser of a residence or homesite in the Community may at any time within 60 days from the date of his or her closing on the residence or homesite apply for a membership in the Club.

The number of memberships in each category is limited and available memberships in each category will generally be issued on a first-come, first-served basis.

Q: What happens if I do not apply for a membership in the Club within the 60-day period?
A: If you do not apply for a membership within 60 days from the date of your closing on your residence or homesite in the Community, you and the subsequent purchaser of your property may apply for a membership at a later date only if one is available and not otherwise reserved by the Club, and only upon payment of the membership deposit which is then in effect at the time the membership is acquired.

Q: Can I arrange to have my membership transferred to the subsequent purchaser of my residence or homesite?
A: Yes. Those members who own a residence or homesite in the Community will be permitted to arrange through the Club for the transfer of their membership to the subsequent purchaser of their residence or homesite. The subsequent purchaser must be approved for membership and pay the then required membership deposit.

The ability to arrange for the transfer of a member's membership to the purchaser of his or her property is an important attribute of membership because, even if there are no memberships available for issuance in the Club at the time, the subsequent purchaser can nonetheless obtain the seller's membership through the Club provided the purchaser is approved for membership.

Q: Can members be assessed to cover any operating deficits or capital improvements?
A: No. Members will not be subject to any liability for capital or operating assessments for the costs and expenses of ownership or operation of the Club or the Club Facilities. The Company will pay all operating deficits incurred in the operation of the Club Facilities and will retain all operating revenues resulting from operation of the Club Facilities.

Q: How will the Club keep informed of the desires of the members?
A: The Club is committed to providing the types of services, programs, activities and events that the membership is desirous of having. An advisory Board of Governors comprised of members of the Club will be formed and will enable members to have input on the foregoing items as well as other matters that are of concern to the members.

Q: How do I become a member?
A: To become a member of the Club, you must submit to the Club a fully completed and signed Membership Agreement and a check in the amount of the required membership deposit. In the event your agreement is not acted upon favorably, the membership deposit will be fully refunded, without interest.
